1. Objective

The present purchase terms (the “Purchase Terms”) regulate the agreement between the company COMERCIAL SAUTA S.L. duly registered in the Trade Register of Guipuzcoa Hoja SS-27005 Tomo 2228 Folio 67 Inscripción 5ª with the corporate tax ID number B01145341 (“minimil”) and the customer (“Customer”) formalised on the webpage www.minimil.es (the “Webpage”) for acquisition by the Customer of minimil products via the Webpage.

2. Contract procedure

2.1. Eligibility to purchase

To be able to place an order via the Webpage, the Customer must be an adult (over 18) and must be the end customer. Minors are expressly excluded.

2.2. How to place an order

To place an order via minimil’s webpage you must follow these steps: Choose the products and add them to “MY BASKET”. Go to check-out and enter the delivery and payment information. Choose the form of payment and click on “FINALISE PURCHASE”. On clicking the button “FINALISE PURCHASE” in the order form, the Customer accepts fully and without reserve all the Purchase Terms that appear in the webpage at the time of contract. On making payment, if it is authorised, the Customer will receive confirmation of receipt of the order. Apart from the circumstances described in Sections 2.3 and 2.4 below, this confirmation constitutes the acceptance by minimil of the Customer’s order and represents a binding contract between the Customer and minimil. It is advisable that the Customer prints and/or saves a copy of the Purchase Terms when placing the order. A copy of the confirmation of the receipt of the order will be sent to the electronic address of the Customer. We recommend that you print or download a copy for possible future consultation. minimil may change the Purchase Terms at any time, without previous warning to the Customer. However, minimil will communicate if an order is cancelled for any of the abovementioned reasons and will refund (as the case may be) the value of the order. Delivery expenses for changes via the webpage are not refunded, except in certain circumstances. Furthermore, when the Customer has received confirmation from minimil of receipt of the order, the Purchase Terms applicable to the order cannot be changed.

2.3. Product availability

The culmination of an order via the webpage is subject to the availability of garments. minimil attempts to guarantee stocks of all the garments for sale. If the product ordered is not available or the stock has sold out, the customer will be informed by email and the amount paid will be refunded within 30 days following payment.

2.4. Right of minimil to cancel or not accept an order

minimil reserves the right to reject any order, cancel or refuse a confirmed order for the following reasons: a technical or price error occurring in the webpage when the order is placed, the product that appears in the order is not available, the payment information provided was incorrect or not verifiable, security systems indicate that the order is anomalous or may be fraudulent, there are reasons to indicate that the Customer is a minor (under 18), after 3 attempts minimil has been unable to deliver the order to the address provided. If an order is cancelled for any of the abovementioned reasons minimil will refund (as the case may be) the value of the order and the delivery expenses paid.

2.5. Data Verification

Before processing an order placed by the Customer, minimil may verify the details. This may mean verification of the address and solvency of the Customer and if there could be fraud involved. With regard to possible fraud, minimil may use a partially automated check of all the purchases to filter those that are considered anomalous or suspicious and those that are suspected fraud. Orders suspected as fraud will be investigated, and the Customer may be reported to the relevant authorities, who may take legal action against the Customer.

3. Price and payment

3.1. Price and currency

Prices and offers presented in the webpage include VAT (Value Added Tax) and are only valid for orders made on line via the Webpage. These prices and offers may not coincide with those available in minimal stores. Prices are expressed in Euro.

3.2. Payment method

To pay for the order the Customer may use the following credit or debit cards: Visa, Visa Electron and MasterCard. The charge will be made after the order has been confirmed.

3.3. Price changes

The prices that appear in the Webpage are subject to changes. minimil reserves the right to change prices without previous warning. However, after receiving confirmation of minimil’s order, the prices to be paid for this order will not change. minimil informs you that despite meticulous updates that are done on the Webpage, errors may arise. All price errors that appear will be promptly corrected and shall not be binding on minimil.

3.4. Value added tax

To comply with the applicable VAT as per regulations for distance selling, deliveries will be considered as effected in the member State that appears in the delivery address.

4. Delivery

4.1. Delivery:

Where and when

Shipments are made from Mondays to Fridays during business hours. Deliveries will not be made at weekends or local bank holidays. Therefore, to facilitate deliveries, Customers are requested to use their work address or another where someone can receive the packet.

4.2. Delivery time

Orders are normally delivered within 24-72 hours. Generally the delivery time is met and although minimil cannot guarantee punctuality, all orders are delivered in a maximum period of 30 days following the date of confirmation of receipt of the order.

4.3. Verification of reception

The Customer must check the condition of the packet when it is received. If the packaging is damaged the Customer should not accept delivery. Unless otherwise agreed, under these Purchase Terms the amount of the purchase and delivery expenses will be refunded to the Customer when the warehouse has processed the return of the products. minimil informs you that the delivery must be verified in a reasonable period of time following its reception. In the event of no notification of product refusal being received within 15 days of delivery, minimil will assume that the Customer has accepted the product. This does not affect the right of the Customer to return or change an order as established in Section 6 below.

5. Delivery expenses

Delivery expenses apply to each order. Under no circumstances will orders be sent to areas that require the payment of customs duty. Delivery fee is the following:

Spanish peninsula and Balearic Islands €6.00 (excluding Canary Islands, Ceuta and Melilla).

6. Returns

6.1. Return of non-compliant products

The Customer has the right to return defective or non-compliant products. The Customer has up to 15 days from the time of detecting the non-compliance of the product to inform minimil of the defect or non-conformity and proceed with returning the product to minimil. If the Customer returns the product because it is defective or because of its non-compliance, minimil will refund the value of the product and delivery expenses, in addition to direct costs of the return, thirty days from the reception by minimil of the returned product. The foregoing is without prejudice to the rights of the Customer as a consumer pursuant to current legislation of a mandatory nature on consumer protection.

6.2. Returning products for any reason (Right of withdrawal)

If the Customer is not satisfied with the products acquired, for whatever reason, he/she has 15 calendar days from the date of delivery to return the product without the need to give any explanation. The Customer may return the product acquired, provided:

The product has not been washed or used in any way (except for reasonable wear as a consequence of checking and trying the product). The product is complete (two elements that make up a pair must be returned together). The customer must return the product and assume the expenses for the return. The products must be returned in their original packaging with original labels together with the corresponding return slip. minimil will carry out the relevant inspection of the merchandise returned. minimil will refund to the Customer the price of the product within thirty days of receiving the notification of return of the product. The customer must also assume the expenses for the return.

6.3. Change of product

At the present time, products cannot be changed. To obtain a product in another colour or size, the Customer must return the original article and place a new order via the webpage of minimil.

6.4. Information about refunds

The refund will be made using the original method of payment. Except as provided for in Section 6.2, minimil will not effect a refund until the product being returned has been received and the warehouse situation has been checked; once the conditions of the product have been checked, the Customer will receive a refund of the relevant amount within thirty days of the reception of the returned product to minimil.

7. Liability

7.1. These Purchase Terms establish all the obligations and responsibilities of minimil with regard to the supply of products. There are no guarantees, conditions or other terms that are binding on minimil except those expressly mentioned in the Purchase Terms.

7.2. Subject to clause 7.4, maximum joint liability between the parties in all claims of whatever nature or related to the Purchase Terms, whether under contract, guarantee, condition, grievance, objective responsibility, law or other form, WILL BE LIMITED TO THE AMOUNT PAID TO MINIMIL FOR THE PRODUCT IN QUESTION.


8. Personal data protection

Customers are informed that their personal details will be included in files property of minimal for commercial purposes, advertising management related to the Customer and commercial research, which includes sending (by mail, electronic mail or other electronic methods) commercial messages related to the products, services, offers, promotions and novelties related to the group minimil. minimil and any third party to whom minimal transmits personal details will carry out and maintain the technical and organisational security measures that are adequate and sufficient to avoid the handling of personal data which represents a breach of: (a) these Purchase Terms or applicable data protection laws; and (b) any loss, destruction or accidental damage of the personal data. The Customer may exercise the right to access, rectify or object to the use of their personal data by sending a written request to minimil (Avenida de Euskadi, no. 53, 3º, 20110 PASAJES SAN PEDRO (GUIPUZCOA) or by electronic mail to comerical@minimil.es The Customer guarantees the authenticity and accuracy of the personal data provided to minimil.

9. Applicable legislation

Purchases made via the Webpage of minimil and under these Purchase Terms are subject to Spanish legislation.

10. Competent jurisdiction

Any dispute or discrepancy which arises from the application or interpretation of the Purchase Terms and the contracts which are included, will be resolved in the courts of the city of San Sebastian, Spain, which will have exclusive competence above any other jurisdiction. However, if the Customer should enjoy the condition of consumer under Spanish law for the defence of consumers and users, the competent courts will be those of the place of residence of the consumer in Spain.
